1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the PamojaHubwebsite, applications, and services (collectively, the "Service") provided by Martin M Mutua operating as PamojaHub ("PamojaHub", "we", "us", or "our").
By creating an account, using the Service, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to create a PamojaHub account. By registering, you represent that you are 18 or older and have the legal capacity to enter into these Terms.
If you are using PamojaHub on behalf of a group, organization, or business, you represent that you have authority to bind that entity.
3. Service Description
PamojaHub is cloud-based management software for community groups, including Chamas, SACCOs, welfare groups, investment circles, and similar organizations. The Service helps groups organize records of:
- Members and memberships
- Contributions and payment obligations
- Loans, repayments, and schedules
- Meetings, attendance, and resolutions
- Shares and transfers
- Subscriptions and billing
PamojaHub provides tools for recording and reporting. It does not provide legal, tax, investment, accounting, or professional financial advice.
4. Account Registration
To use most features, you must create an account. You agree to:
- Provide accurate and complete information
- Keep your account credentials secure
- Notify us promptly of unauthorized access
- Accept these Terms and our Privacy Policy during registration
You are responsible for all activity that occurs under your account.
5. Group Membership and Roles
Groups on PamojaHub have members with roles such as owner, admin, treasurer, and member. Each role has different permissions:
- Owner: Full control over group settings, members, and records
- Admin: Can manage most group settings and members
- Treasurer: Can manage financial records and may approve or record payments and loans where permitted
- Member: Can view records according to group settings and their role
Role permissions are enforced by the Service, but group administrators are responsible for assigning appropriate roles.
6. Group Administrator Responsibilities
If you are a group owner, admin, or treasurer, you are responsible for:
- Deciding what data to enter about your group and its members
- Ensuring you have permission to collect and enter member information
- Informing members that the group uses PamojaHub
- Responding to member questions and data requests
- Complying with applicable laws, including data-protection laws
You agree to use PamojaHub only for lawful group-management purposes.
7. Member Data Responsibilities
Group members may have personal information recorded by group administrators, including contact details, financial contributions, loan status, attendance, and votes.
By accepting a group invitation or remaining a member, you acknowledge that the group may record this information through PamojaHub. Questions about what the group records and why should be directed to the group administrators.
8. Financial Recordkeeping
PamojaHub is software for recording and organizing financial activity. It is not:
- A bank
- A deposit-taking institution
- A SACCO
- An investment adviser
- A lender
- A custodian of group funds
- A money-transfer service
- A financial guarantor
PamojaHub does not hold group funds, manage real-world bank accounts, or execute financial transactions on a group's behalf, except for subscription payments made to PamojaHub through Paystack.
9. PamojaHub Does Not Hold Group Funds
Group funds remain under the control of the group and its authorized officers. PamojaHub records what authorized users enter into the system. The accuracy of those records depends on the people who enter them.
PamojaHub is not responsible for:
- The actual movement of money between group members or bank accounts
- Disputes over contributions, loans, or share transactions
- Investment performance or losses
- A group's compliance with its own bylaws or applicable law
10. Group Contributions and Loans
PamojaHub supports groups in administering internal loans and contributions according to group-configured rules.
Loans recorded in PamojaHub are between the group and/or its members according to the group's own rules. PamojaHub:
- Does not provide loan principal
- Does not make independent lending decisions
- Does not guarantee repayment
- Does not assess creditworthiness
The Service may calculate schedules, balances, interest, and late fees based on terms configured by authorized group officers. These calculations are only as accurate as the data entered and the rules configured.
11. Subscription Plans
PamojaHub offers subscription plans with different features, group limits, and member limits. Current plan details are shown on our pricing page and in your account settings.
Plan limits and prices may change from time to time. We will notify you of material changes in advance where required.
12. Free Introductory Period
The Free plan allows your first 3 months at no cost, subject to the limits of the Free plan. After the free period, you must upgrade to a paid plan to continue using PamojaHub.
13. Billing and Paystack
Subscription payments are processed by Paystack, a third-party payment processor. When you subscribe to a paid plan:
- You will be redirected to Paystack's secure hosted checkout
- Paystack will collect your payment information
- PamojaHub will receive confirmation of payment and a transaction reference
You authorize PamojaHub to charge the applicable subscription fees through Paystack.
All fees are non-refundable unless otherwise required by law or expressly stated by us.
14. Upgrades / Downgrades
You may upgrade to a higher plan at any time. Upgrades typically take effect immediately or according to the plan rules shown at checkout.
Downgrades may be restricted if your current usage exceeds the limits of the lower plan.
15. Cancellation
You may cancel your subscription through your account settings or by contacting support. Cancellation may take effect at the end of your current billing period.
If you cancel, you may lose access to paid features. We are not responsible for any data loss resulting from cancellation, but you may export your data where export features are available.
16. User Content / Group Records
"User Content" means any data, records, documents, or information you or your group enter into PamojaHub.
You retain ownership of your User Content. By entering it into PamojaHub, you grant us a limited license to host, store, process, and display that content solely to provide the Service to you and your group.
You represent that you have the right to enter all User Content and that it does not violate these Terms or any law.
17. Acceptable Use
You agree not to use PamojaHub to:
- Violate any law or regulation
- Infringe intellectual property rights
- Harass, abuse, or harm others
- Upload viruses, malware, or harmful code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with the integrity or performance of the Service
- Use the Service for any illegal financial activity, money laundering, or fraud
18. Prohibited Conduct
Specifically prohibited conduct includes:
- Impersonating another person or entity
- Providing false or misleading information
- Using automated means to access the Service without authorization
- Reverse engineering or scraping the Service
- Circumventing security controls or role permissions
- Using PamojaHub to process data you are not authorized to process
19. Pamoja AI
Pamoja AI is an optional feature that explains information already calculated by PamojaHub.
By using Pamoja AI, you agree that:
- AI output is informational only and may be incomplete or inaccurate
- Authoritative records remain the underlying PamojaHub data
- AI output is not legal, tax, investment, lending, accounting, or professional financial advice
- AI cannot execute transactions, approve loans, or change records
- You should verify important decisions using the actual records in PamojaHub
We do not guarantee the accuracy, completeness, or usefulness of AI-generated responses.
20. Intellectual Property
PamojaHub and its contents, including software, designs, text, graphics, logos, and trademarks, are owned by us or our licensors and are protected by intellectual property laws.
You may not copy, modify, distribute, or create derivative works of PamojaHub's intellectual property without our written permission, except as permitted by these Terms.
You retain ownership of your User Content.
21. Third-Party Services
PamojaHub integrates with third-party services, including:
- Supabase for authentication and database
- Paystack for payment processing
- Resend for email
- Groq for AI inference
- Vercel for hosting and analytics
These services have their own terms and privacy policies. We are not responsible for their practices, except to the extent caused by our own negligence.
22. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
23. Account Suspension / Termination
We may suspend or terminate your account if you:
- Violate these Terms
- Use the Service unlawfully
- Pose a security risk
- Fail to pay applicable fees
Group administrators may also remove members from groups according to group rules.
Upon termination, your right to use the Service immediately ends. Provisions that by their nature should survive termination will survive.
24. Account Deletion and Historical Records
You may request deletion of your account. We will anonymize your profile and deactivate your access. However, we may retain certain historical records where necessary for:
- Financial accountability and audit integrity
- Legal compliance
- Fraud prevention
- Dispute resolution
- Preserving the integrity of group records
These retained records will not identify you by name, email, or other personal details.
25. Service Availability
We aim to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable for maintenance, updates, or reasons beyond our control.
We reserve the right to modify, suspend, or discontinue features with reasonable notice.
26. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.
PAMOJAHUB IS NOT RESPONSIBLE FOR FINANCIAL LOSSES, INVESTMENT LOSSES, OR DISPUTES ARISING FROM GROUP RECORDS, LOANS, CONTRIBUTIONS, OR OTHER ACTIVITIES MANAGED THROUGH THE SERVICE.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAMOJAHUB AND MARTIN M MUTUA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO PAMOJAHUB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
28. Indemnity
You agree to indemnify and hold harmless PamojaHub and Martin M Mutua from any claims, damages, liabilities, costs, or expenses arising out of:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any law or the rights of a third party
29. Changes to Service / Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service before the changes take effect. Your continued use of the Service after the changes constitutes acceptance of the updated Terms.
30. Governing Law
These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of Oklahoma, United States, without regard to conflict-of-law principles, except where mandatory laws in your jurisdiction apply.
Any disputes will be resolved in the courts located in Oklahoma County, Oklahoma, United States, unless otherwise agreed.
Legal counsel review recommended: Because PamojaHub primarily serves users in Kenya, a Kenyan attorney should confirm whether this governing-law clause is appropriate or whether Kenyan mandatory consumer or data-protection law should be expressly preserved.
31. Dispute Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@pamojahub.com. If we cannot resolve the dispute within 60 days, either party may pursue formal remedies according to the governing law clause above.
